Governance within the Group is exercised through a structured framework defining authority, accountability, and decision boundaries across ownership, oversight, and management.
Oversight extends to long-term direction, capital stewardship, governance standards, and risk posture, while operational management and execution remain with the respective operating companies.
Governance is guided by enforceable constraints, including clarity of roles, capital discipline, regulatory and statutory compliance, accountability aligned with authority, and operational autonomy within defined boundaries. These constraints are designed to endure beyond individual roles or circumstances.
Accountability structures ensure that governance authority is exercised within defined limits and subject to review. Control expectations are embedded to constrain decision-making without extending into operational management.
Group-level disclosure is limited to statutory, regulatory, and governance-related information. Detailed operational or commercial information is addressed by operating companies through their own channels.
